Who we are

Spruce is operated by T&E Capital Partners LLC ("we", "us", "the Company"). These Terms govern your use of sprucesite.com and anything you buy from us. You can reach a real person at support@sprucesite.com.

Agreeing to these terms

By using Spruce or purchasing from us, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, please do not use the service.

What you're buying

Spruce provides a hosted website for your business, built and edited with AI. It is a recurring subscription that renews automatically each billing period until you cancel. We deliver the work or access described in your plan for each period you pay for.

AI-generated work — your review matters

Our work is produced by automated and AI systems using the information you give us. AI can make mistakes, leave things out, or produce content that does not fit your exact situation.

You are responsible for reviewing everything we produce for accuracy, legality, and suitability before you publish it or rely on it — including prices, claims, contact details, licensing or insurance statements, and anything a customer of yours might act on. We provide the work as a starting point and tool, not as a guaranteed, finished, error-free result.

Your account and your responsibilities

You agree to give accurate information, to keep any login or connection you create reasonably secure, and to use Spruce only for lawful purposes. You confirm you have the right to use any content, photos, business details, or accounts you provide to us.

Acceptable use

You agree not to:

• break the law or infringe anyone's rights using our service;
• upload content that is unlawful, deceptive, infringing, or that you do not have the right to use;
• resell, redistribute, or repackage the service or its output except as your plan or license expressly allows;
• attempt to copy, reverse-engineer, scrape, or disrupt the service or its systems;
• use the service to harass, defraud, or harm others.

Payments

Payments are processed securely by Stripe. By purchasing, you authorize the applicable charge, including the automatic renewal of your subscription each period until you cancel. We do not store full card numbers. Prices are in U.S. dollars and may change going forward (changes never affect a charge you have already paid).

Cancellation

You can cancel any time from your Stripe receipt or by emailing support@sprucesite.com. Cancellation stops all future billing and takes effect at the end of your current paid period — you keep access and delivery through that date. Cancelling is as easy as signing up.

Refunds

Refunds are governed by our Refund Policy. In short, refunds are limited and we do not give refunds for change of mind or for work already delivered. Please read the Refund Policy for the details.

Intellectual property

We own Spruce, its software, brand, and design. You own the content and business information you give us, and you own the finished work we deliver to you for your own use. You grant us the limited permission to use your content only as needed to provide the service you bought.

Disclaimer — service provided "as is"

Spruce and everything we deliver are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any result we produce is accurate or complete.

We do not guarantee specific outcomes. That includes search rankings, traffic, leads, sales, revenue, engagement, or any legal or business result — these depend on many factors outside our control.

Limitation of liability

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or related to your use of Spruce.

Our total liability for any claim relating to the service is limited to the greater of the amount you actually paid us in the twelve months before the claim, or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this may not apply to you.

Indemnification

You agree to defend, indemnify, and hold the Company harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your content, your use of the service or its output, or your violation of these Terms or the law.

Suspension and termination

We may suspend or end your access if you breach these Terms, misuse the service, or for the security and integrity of the service. You may stop using the service at any time.

Changes to these terms

We may update these Terms as the service evolves. When we do, we will update the date at the top. Continuing to use Spruce after a change means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Wyoming are the proper venue for any dispute. Before filing anything, please contact us at support@sprucesite.com — most issues are solved quickly by a real person.
